Participation Agreement for ev.energy EVolved Charging Program

Thank you for your interest in joining EVolved Charging (the “Program”).
This Program is brought to you by Black Hills Service Company, LLC (“Black Hills Energy”), and ev.energy Corp. (“ev.energy”).
Your participation is completely voluntary. By continuing to use the ev.energy app (“App”) or participate in the program via the web portal you agree to the terms below including the Privacy Policies referenced below.
1. What’s the Program About
This Program encourages electric vehicle (“EV”) drivers to enroll in the charging program through incentives. These incentives may include financial rewards or other benefits, depending on your location and eligibility. ev.energy will use the App to collect information about your EV charging, such as:
● When and where you charge
● How much energy you use
● Your vehicle’s make/model/trim, vehicle identification number (VIN), battery size, charger make/model, charger serial number or other unique identifier, vehicle battery state of charge, plug-in/unplug times, start/stop times of charging sessions, kWh of energy consumed, vehicle charging location and similar data, and charging equipment (“Collected Data”).
This helps us evaluate the Program. Additional data (e.g., connected hardware metadata, vehicle location, technical data and application usage data) may be stored and processed by ev.energy in line with ev.energy's Privacy Policy for the purpose of administering the Program, but this data will not be shared with Black Hills Energy.
The incentive is as follows:
● $10 / per calendar months where the following is true:
○ 85% of at-home kWh of charging occurs during off-peak periods in a calendar month.
○ Off-peak is defined as any time other than 5-8pm, Monday through Friday, excluding major holidays. Major holidays for this Program are defined as New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, and Christmas Day, regardless of what day of the week those holidays occur.
○ You complete at least 1 charging session, at-home, within the calendar month that is equal or greater than 1kWh.
The incentive payment is automatic once you have provided details of your nominated account for receipt. There is no other compensation offer in place of the above incentive.
2. Who’s Involved
ev.energy: provides the App, and captures and processes your data as requested by Black Hills Energy and we issue the incentives
Black Hills Energy: evaluate the results, validates user eligibility, and assists in the administration of the Program
Even though Black Hills Energy is part of the Program, you may only see ev.energy branding in the App.
3. Your Participation
To take part, you must:
● be at least 18 years old
● not participate in the Program in any way that is illegal, fraudulent or abusive, including to harass, threaten, abuse, defame or slander any individual;
● own or use a supported EV and/or smart charger as set out here: https://www.ev.energy/drivers/integrations
● Consent to ev.energy obtaining and using your EV charging data as described in this Agreement
● Remain enrolled in the Program for a minimum of twelve (12) consecutive months, unless removed by ev.energy or Black Hills Energy for non-compliance or inactivity.
You may need a paid telematics subscription from your EV manufacturer to participate. These costs are your responsibility.
4. What You’re Agreeing To
By participating, you agree that:
● Your data can be shared with ev.energy and Black Hills Energy for program-related purposes
● ev.energy and Black Hills Energy are not responsible for losses, damages, or technical issue
● You have permission from anyone else using the EV to collect and share this data.
5. Incentive Payments
The incentive you earn through this Program is based entirely on the data collected from your EV charging activity (“Collected Data”). ev.energy and Black Hills Energy will use this data to calculate what you are owed. Please note that this data may not always be perfectly accurate, and ev.energy and Black Hills Energy are not responsible for any issues with the accuracy or completeness of that data. All incentive calculations are final.
Incentives will be sent to the PayPal or Venmo account that you add to your profile in the ev.energy app or web portal. Only PayPal or Venmo are accepted - no other payment methods can be used. ev.energy and Black Hills Energy are not responsible for verifying the accuracy of your payment information. Please ensure the details you provide are correct and up to date.
If no PayPal or Venmo account is added, your incentive will be held by ev.energy until you provide the correct payment details. No interest will be paid on held incentives.
Incentives may be forfeited if:
● You do not add your PayPal or Venmo account within six (6) months of signing this Agreement;
● You do not claim a payment within three (3) months of it being issued;
● You do not request or claim a payment within two (2) months of the Program or this Agreement ending.
It is your responsibility to keep your payment information current. ev.energy and Black Hills Energy are not responsible for missed or misdirected payments due to incorrect information.
6. Privacy and Data
Your personal information will be handled according to the following various privacy statements.

7. Term and Leaving the Program
We envision that the Program will continue through December 19, 2027. You can opt out at any time by emailing us at support@ev.energy or Black Hills Energy may also remove you from the Program if you stop meeting the requirements or are no longer actively participating.
8. Participant Feedback and Data Collection
You will cooperate in good faith with Black Hills Energy and ev.energy or its and their authorized representative in performing evaluation, measurement, and verification of the Program. Black Hills Energy and ev.energy will use Collected Data to evaluate the Program and for future planning purposes, including, but not limited to, assessing your experience, measuring potential savings to you, avoiding energy distribution and/or supply costs to Black Hills Energy and ev.energy, and reducing emissions. Additionally, Black Hills Energy and ev.energy may request that you complete surveys during and after the conclusion of the Program. Black Hills Energy and ev.energy may use and publicize anonymized quotes from your surveys in promotional materials.
9. Indemnification
You agree to defend, indemnify, and hold harmless ev.energy and Black Hills Energy, and each of its and their members, officers, officials, agents, and employees, from and against any and all loss, liability, expense, claims, suits, and damages, including attorneys' fees ("Claims") to the extent arising out of or resulting from your participation in the Program.
10. Limitation of Liability
To the fullest extent permitted by law, Black Hills Energy and ev.energy disclaim all warranties, express or implied, including but not limited to warranties for merchantability and fitness for a particular purpose. In no event shall Black Hills Energy or ev.energy be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your participation in the Program.
11. Regulatory Oversight
This Program may be subject to review or approval by state or federal regulatory authorities. Black Hills Energy reserves the right to modify the Program or this Agreement to comply with any such requirements.
12. Assignment
This Agreement is personal to you. You may not assign or transfer rights or delegate obligations under this Agreement. Black Hills Energy and ev.energy are permitted to assign this Agreement, in whole or in part, to any person, at any time, and without notice to you.
13. Taxes
You are responsible for paying all taxes, if any, associated with receipt of incentives or any other thing of value in connection with the Program.
14. Entire Agreement
This Agreement (including any other documents or policies incorporated by reference) constitutes the entire agreement between you on the one hand, and Black Hills Energy and ev.energy, on the other hand, with respect to the Program and supersedes all prior or other arrangements, understandings, negotiations and discussions, whether oral or written, with respect to the subject matter of this Agreement.
15. Modifications to this Agreement
ev.energy and Black Hills Energy may modify this Agreement at any time. The most up-to-date version of this Agreement will be made available at: http://evolvedcharging.ev.energy/participation-agreement. Please ensure you check this page periodically. By continuing to take part in the Program after any changes are made, you agree to any updated terms of this Agreement.
16. Waiver/ Severability
No waiver of any provision of this Agreement shall be deemed or constitute a waiver of any other provision of or any subsequent breach of this Agreement. No waiver shall be valid unless made in a writing signed by the party granting the waiver. If any provision in this Agreement is declared invalid or unenforceable, then such provision shall be severed from the remainder of this Agreement, which will otherwise remain in full force and effect.
17. No Third-Party Beneficiaries
This Agreement is for the benefit of ev.energy and Black Hills Energy and each and their respective successors and assigns with respect to your obligations under this Agreement and for your benefit with respect to your rights under this Agreement. There are no other third-party beneficiaries under this Agreement and this Agreement will not be deemed to confer upon or give to any other person any claim or other right or remedy.
18. Law and Venue
This Agreement shall be interpreted and enforced in accordance with the laws of Colorado without reference to its principles on conflicts of laws.
19. Energy Rates (Tariffs)
Energy Rates (“Tariffs”) displayed throughout the program are an approximation only, effective as of July 1st 2025, and can change quarterly. Calculated approximate rates shown in the ev.energy app and elsewhere include base energy rates, cost adjustments, and programmatic rider fees based on actual energy usage rounded up to the nearest cent, but do not take into consideration other recurring monthly fees such as, without limitation, customer charge, franchise fees, and applicable taxes. Actual rates may differ.

1. ¿Dequé se trata el programa?

Esto nos ayuda a evaluar el Programa. ev.energy puede almacenar yprocesar datos adicionales (por ejemplo, metadatos del hardware conectado, laubicación del vehículo, los datos técnicos y datos de uso de la aplicación) deacuerdo con la Política de privacidad de ev.energy con el fin de administrar el Programa, pero estos datos no se compartirán con Black Hills Energy.
El incentivo es el siguiente:

○ Completas al menos 1 sesión de carga, en casa, dentro del mes calendario que sea igual o mayor a 1kWh.
El pago del incentivo es automático una vez que haya proporcionado los detalles de su cuenta nominada para la recepción. No hay otra oferta de compensación en lugar del incentivo mencionado anteriormente.
2. Quiénestá implicado

3. Su participación

● Dar su consentimiento para que ev.energy obtenga y utilice sus datos de carga de vehículos eléctricos como se describe en este Acuerdo
● Permanecer inscrito en el Programa durante un mínimo de doce (12) meses consecutivos, a menos que ev.energy o Black Hills Energy lo eliminen por incumplimiento o inactividad.
Es posible que necesite una suscripción telemática pagada del fabricante de su vehículo eléctrico para participar. Usted seráresponsable de los costos.
4. Loque usted está aceptando
Al participar, usted acepta que:
● Sus datos pueden ser compartidos con ev.energy y Black Hills Energy para fines relacionados con el programa.
● ev.energy y Black Hills Energy no son responsables de pérdidas, dañoso problemas técnicos.
● Tiene el permiso de cualquier otra persona que utilice el EV parar ecopilar y compartir estos datos.
5. Pagosde incentivos

7. Términoy salida del programa
Prevemos que el Programa continuará hasta el 19 de diciembre de 2027. Puede cancelar su participación en cualquier momento enviándonos un correo electrónico a support@ev.energy.ev.energy o Black Hills Energy también pueden eliminarlo del Programa si deja de cumplir con los requisitos o ya no participa activamente.
8. Retroalimentación de los participantes y recopilación de datos
Cooperará de buena fe con Black Hills Energy y ev.energy o sus representantes autorizados en la realización de la evaluación, medición y verificación del Programa. 9. Indemnización
Usted acepta defender, indemnizar y eximir de responsabilidad a ev.energy y Black Hills Energy, y a cada uno de sus miembros, funcionarios, oficiales, agentes y empleados, de y contra toda pérdida, responsabilidad, gasto, reclamo, demanda y daño, incluidos los honorarios de abogados ("Reclamos") en la medida que surjan o resulten de su participación en el Programa.
10. Limitación de responsabilidad
En la máxima medida permitida por la ley, Black Hills Energy y ev.energy renuncian a todas las garantías, expresas o implícitas, incluidas, entre otras, las garantías de comerciabilidad e idoneidad para un propósito particular. En ningún caso Black Hills Energy o ev.energy serán responsables de ningún daño indirecto, incidental, especial o consecuente que surja de o en conexión con su participación en el Programa.
11. Supervisión regulatoria
Este Programa puede estar sujeto a revisión o aprobación por parte de las autoridades reguladoras estatales o federales. Black Hills Energy se reserva el derecho de modificar el Programa o este Acuerdo para cumplir con dichos requisitos.
12. Asignación
Este Acuerdo es personal y exclusivo para usted. No podrá ceder ni transferir derechos ni delegar obligaciones bajo este Acuerdo. Black Hills Energy y ev.energy tienen permitido ceder este Acuerdo, total o parcialmente, a cualquier persona, en cualquier momento y sin previo aviso.
13. Impuestos
Usted es responsable de pagar todos los impuestos, si los hubiera, asociados con la recepción de incentivos o cualquierotra cosa de valor en relación con el Programa.
14. Acuerdo completo
Este Acuerdo (incluido cualquier otro documento o política incorporado por referencia) constituye el acuerdo completo entre usted, por un lado, y Black Hills Energy y ev.energy, por el otro, con respecto al Programa y reemplaza todos los acuerdos, entendimientos, negociaciones y discusiones anteriores o de otro tipo, ya sean orales o escritos, con respecto al objeto de este Acuerdo.
15. Modificaciones a este Acuerdo
ev.energy y Black Hills Energy pueden modificar este Acuerdo en cualquier momento. La versión más actualizada de este Acuerdo estará disponible en: http://evolvedcharging.ev.energy/participation-agreement. Asegúrese de revisar esta página periódicamente. Al continuar participando en el Programa después de que se realice cualquier cambio, usted acepta los términos actualizados de este Acuerdo.
16. Renuncia / Separabilidad
Ninguna renuncia a cualquier disposición de este Acuerdo se considerará ni constituirá una renuncia a ninguna otra disposición oincumplimiento posterior de este Acuerdo. Ninguna renuncia será válida a menos que se haga por escrito y esté firmada por la parte que otorga la renuncia. Si alguna disposición de este Acuerdo se declara inválida o inaplicable, dicha disposición se separará del resto de este Acuerdo, que de otro modo permanecerá en pleno vigor y efecto.
17. Sin beneficiarios externos
Este Acuerdo es para el beneficio de ev.energy y Black Hills Energy y cada uno de ellos y sus respectivos sucesores y cesionarios con respecto a sus obligaciones bajo este Acuerdo y para su beneficio con respecto a sus derechos bajo este Acuerdo. No existen otros terceros beneficiarios bajo este Acuerdo y este Acuerdo no se considerará que confiere o da a ninguna otra persona ningún reclamo u otro derecho o recurso.
18. Ley y jurisdicción
Este Acuerdo se interpretará y aplicará deconformidad con las leyes de Colorado sin referencia a sus principios sobre conflictos de leyes.
19. Tarifas de energía (tarifas)
Las tarifas de energía (“Tarifas”) que se muestran en todo el programa son solo una aproximación, vigentes a partir del 1 de julio de 2025 y pueden cambiar trimestralmente. Las tarifas aproximadas calculadas que se muestran en el app de ev.energy y en otros lugares incluyen tarifas de energía base, ajustes de costos y tarifas programáticas basadas en el uso de energía real redondeado al centavo más cercano, pero no tienen en cuenta otras tarifas mensuales recurrentes como, entre otras, cargo al cliente, tarifas de franquicia e impuestos aplicables. Las tarifas reales pueden variar.
